Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Kombplax ("Company," "we," "us," or "our") concerning your access to and use of the kombplax.com website and our facilities management services in Zimbabwe.

By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our services.

Our Services

Kombplax provides comprehensive building and facilities management services in Zimbabwe, including but not limited to:

• • Hard Facilities Services (HVAC, electrical, plumbing, fire safety)
• • Environmental Services (cleaning, waste management, landscaping)
• • Material Recovery Facilities (recycling, resource recovery)
• • Soft Facilities Services (reception, security, catering)
• • Home Maintenance Services
• • Lift Systems & Automation

Specific terms for individual services will be outlined in separate service agreements.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

• • Maintaining the confidentiality of your account credentials
• • All activities that occur under your account
• • Notifying us immediately of any unauthorized use
• • Ensuring your account information is accurate and up-to-date

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

Service Agreements and Pricing

Quotations

All quotations provided are valid for 30 days from the date of issue unless otherwise stated. Quotations are subject to site inspection and final assessment.

Service Contracts

Detailed service contracts will be provided for all ongoing services. These contracts will specify scope of work, pricing, payment terms, and service level agreements (SLAs).

Pricing and Payment

• • All prices are quoted in USD or ZWL as specified
• • Payment terms are net 30 days unless otherwise agreed
• • Late payments may incur interest charges as permitted by law
• • We reserve the right to suspend services for non-payment
• • Price adjustments may occur with 60 days' written notice

Client Responsibilities

As a client, you agree to:

• • Provide safe and reasonable access to your facilities
• • Inform us of any hazardous conditions or special requirements
• • Provide necessary utilities (water, electricity) as required
• • Designate a primary contact person for service coordination
• • Provide timely feedback and approval for work requiring authorization
• • Comply with all applicable laws and regulations

Intellectual Property Rights

Our Content

All content on our website, including text, graphics, logos, images, and software, is the property of Kombplax or its content suppliers and is protected by Zimbabwean and international copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our website for personal or business purposes related to our services. You may not:

• • Copy, modify, or distribute our content without permission
• • Use our content for commercial purposes outside of using our services
• • Remove any copyright or proprietary notices
• • Reverse engineer or attempt to extract source code

Prohibited Activities

You agree not to:

• • Use our services for any unlawful purpose
• • Impersonate any person or entity
• • Interfere with or disrupt our services or servers
• • Attempt to gain unauthorized access to our systems
• • Transmit viruses, malware, or other harmful code
• • Harass, abuse, or harm our staff or other users

• • Use automated systems to access our website without permission

Warranties and Disclaimers

Service Warranties

We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards. Specific warranties for equipment and materials will be provided in service contracts.

Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN SERVICE CONTRACTS, OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY ZIMBABWEAN LAW, KOMBPLAX SHALL NOT BE LIABLE FOR:

• • Indirect, incidental, special, consequential, or punitive damages
• • Loss of profits, revenue, data, or business opportunities
• • Damages exceeding the amount paid for services in the 12 months preceding the claim
• • Events beyond our reasonable control (force majeure)

This limitation applies regardless of the legal theory on which the claim is based.

Indemnification

You agree to indemnify, defend, and hold harmless Kombplax, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• • Your use of our services
• • Your violation of these Terms
• • Your violation of any rights of another party
• • Any negligent or wrongful conduct by you

Insurance

Kombplax maintains appropriate insurance coverage for our operations. Details of insurance coverage relevant to your service agreement will be provided upon request.

Termination

By You

You may terminate your service agreement with us by providing written notice as specified in your service contract (typically 30-90 days).

By Us

We may terminate or suspend your access to our services immediately, without prior notice, if you:

• • Breach these Terms or your service agreement
• • Fail to make payment when due
• • Engage in conduct that harms or could harm Kombplax or others
• • Request termination

Effect of Termination

Upon termination, you must immediately cease use of our services and pay any outstanding amounts owed. Provisions that by their nature should survive termination will survive.

Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Zimbabwe, without regard to its conflict of law provisions.

Dispute Resolution

In the event of any dispute arising from these Terms or our services:

1. Parties will first attempt to resolve the dispute through good faith negotiation
2. If negotiation fails, disputes may be submitted to mediation
3. Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Zimbabwe

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• • Posting the updated Terms on our website
• • Updating the "Last Updated" date
• • Sending notice to your registered email address for significant changes

Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Kombplax regarding our services and supersede all prior agreements and understandings.
